Driver Partnership Agreement

Read and understand this agreement before ticking and accepting it.


This Driver-Partner Agreement ("Agreement") is made and entered into by and between [Driver’s Full Name as given in the form and YEEXNG Ltd. or its local affiliate in Nigeria ("Yeex"). By signing this Agreement, the Driver agrees to the following terms and conditions for providing transportation services using the YEEX platform.
 
1. Definitions

  1. Yeex Platform: The technology application provided by Yeex that allows independent drivers to connect with passengers for transportation services.

  2. Driver-Partner: An independent contractor who uses the Yeex platform to offer rideshare services to passengers.

  3. Passenger: An individual using the Yeex platform to request and receive transportation services.

  4. Vehicle: The motor vehicle owned or controlled by the Driver that is used to provide transportation services.

 
2. Services Provided by YEEX

  1. Platform Access: Yeex provides the Driver with access to its digital platform that connects passengers and drivers for transportation services.

  2. Non-Employment Relationship: The Driver is an independent contractor and not an employee of YEEX. The Driver retains full discretion over how to perform the services, including when and where to operate the vehicle. This Agreement does not create an employment, partnership, or joint venture relationship between the Driver and YEEXNG Ltd.

  3. Support: Yeex may provide support to assist the Driver with platform-related issues such as account setup, technical difficulties, or payment queries.


3. Driver’s Obligations

  1. Driver Requirements: The Driver must:

  2. Be at least 21 years old and hold a valid Nigerian driver's license.

  3. ​Own or have lawful use of an eligible vehicle that meets Yeex safety and regulatory requirements.

  4. Pass a background check, including criminal record and driving history.

  5. Maintain proper vehicle insurance as required under Nigerian law.

  6. Maintain a valid vehicle inspection certificate, confirming the roadworthiness of the vehicle.

  7. Ensure compliance with all applicable traffic laws and regulations in Nigeria.

 

  • Service Quality: The Driver agrees to provide safe, reliable, and professional transportation services to passengers, ensuring that all passengers reach their destinations safely and in a timely manner.

  • Personal Conduct: The Driver agrees to behave in a respectful and professional manner when interacting with passengers and to refrain from any behaviour that could endanger passenger safety or cause reputational harm to YEEX.

  • Clean and Well-Maintained Vehicle: The Driver is responsible for keeping the vehicle clean and well-maintained. Uber may remove the Driver from the platform if the vehicle does not meet cleanliness or safety standards.

  • The driver agrees to bring the vehicle for inspection within one (1) month of operation at one of the YEEXNG offices.


4. Use of the Yeex Platform

  1. Account Management: The Driver is responsible for maintaining an active and accurate account on the Yeex platform. The Driver must ensure that all personal, vehicle, and banking information is up to date at all times.

  2. Phone and Data Requirements: The Driver must have a smartphone with the Yeex Driver app installed and have access to mobile data to receive trip requests.

  3. Acceptance of Trip Requests: The Driver is free to accept or decline trip requests through the Yeex platform. However, repeated declines or cancellations may affect the Driver’s standing on the platform.

  4. Ratings: The Driver will receive ratings from passengers after each trip. Consistently low ratings may lead to account deactivation or suspension. Yeex will notify the Driver if performance issues arise and offer guidance on how to improve.


5. Fees and Payments

  1. Fares: The fare for each trip will be calculated by the Yeex platform based on time, distance, demand, and other factors. Yeex reserves the right to adjust fares, including surge pricing, to meet market conditions.

  2. Service Fee: The Driver agrees to pay the Yeex service fee of 15% for each trip completed, which will be deducted from the fare. The service fee is a percentage of the total fare and will be communicated to the Driver in advance.

  3. Service Fee is adjusted from time to time to reflect economic conditions and other related factors.

  4. Driver’s Earnings: The remaining portion of the fare, after deducting the Yeex service fee, will be transferred to the Driver’s bank account on a weekly basis, minus any applicable adjustments, refunds, or fines.

 

  • On occasions where cash has been paid for trips, the Driver must credit YEEXNG Ltd its required service fee owed on a weekly basis.

  • Promotions: Yeex may offer promotions or incentives to boost demand for rides. The Driver may participate in these promotions, subject to the terms provided in each offer.

  • Tax Responsibilities: The Driver is responsible for reporting and paying any income tax and other taxes required by Nigerian law. Yeex does not withhold any taxes on behalf of the Driver.


6. Insurance and Liability

  1. Driver’s Insurance: The Driver must maintain vehicle insurance coverage that meets or exceeds the minimum legal requirements in Nigeria. The insurance must cover both the Driver and any passengers during the provision of transportation services.

  2. Yeex Insurance: Yeex may offer additional insurance coverage to protect Drivers during the use of the Yeex platform. Details of this coverage will be provided separately if applicable.

  3. Accidents and Incidents: The Driver is required to report any accidents, incidents, or injuries that occur during the provision of services to Yeex and local authorities as required by law. The Driver is fully responsible for complying with any legal and insurance obligations following such incidents.


7. Compliance with Laws and Regulations

  1. Traffic Laws: The Driver agrees to comply with all Nigerian traffic laws, speed limits, and road safety regulations at all times. The Driver is responsible for any fines, penalties, or legal actions resulting from traffic violations.

  2. Transport Permits: The Driver is responsible for ensuring that all necessary transport permits and vehicle registration documents are current and valid under Nigerian law.

  3. Background Checks: The Driver consents to regular background checks and vehicle inspections as required by Yeex or Nigerian regulatory authorities.


8. Termination of Agreement

  1. Voluntary Termination: The Driver may terminate this Agreement at any time by providing written notice to YEEXNG Ltd.

  2. Termination by YEEX: Yeex reserves the right to terminate this Agreement and deactivate the Driver’s access to the Yeex platform at any time, with or without cause. Reasons for termination may include, but are not limited to:

 

  • Violations of Yeex guidelines.

  • Repeated poor ratings or complaints from passengers.

  • Failure to meet legal requirements or maintain insurance.

  • Engaging in fraudulent or illegal activities.

 

  1. Effect of Termination: Upon termination, the Driver will no longer have access to the Yeex platform and any outstanding payments due to the Driver or to YEEXNG ltd should be settled within the next payment cycle.


9. Dispute Resolution

  1. Good Faith Negotiation: In the event of any dispute arising from this Agreement, the parties agree to engage in good faith negotiations to resolve the matter.

  2. Arbitration: If a dispute cannot be resolved through negotiation, it will be referred to arbitration in accordance with Nigerian law. The decision of the arbitrator will be binding on both parties.

  3. Governing Law: This Agreement is governed by and construed in accordance with the laws of the Federal Republic of Nigeria.


10. Indemnification

  1. The Driver agrees to indemnify and hold YEEXNG harmless from any claims, liabilities, damages, or legal actions arising out of the Driver’s provision of transportation services, including but not limited to:

 

  • Breach of this Agreement or Nigerian law.

  • Traffic accidents or incidents involving the Driver’s vehicle.

  • Complaints or disputes with passengers.


1. Confidentiality

  1. Confidential Information: The Driver agrees not to disclose any confidential or proprietary information related to YEEX business operations, platform technologies, or customer data to any third party without prior written consent from YEEXNG.


12. Modification of Agreement

  1. Yeex reserves the right to modify the terms of this Agreement at any time. Changes will be communicated to the Driver, and continued use of the Yeex platform will constitute acceptance of the modified terms.

 
13. Acknowledgement
By signing or electronically accepting this Agreement, the Driver acknowledges that they have read, understood, and agree to the terms and conditions outlined in this Agreement.
